Public Offerings

Registration statements, direct listings, and the ongoing reporting obligations that come with becoming a public company.

Registration Under the Securities Act

Unless an exemption applies, securities offered to the public must be registered with the SEC. For most operating companies that means a Form S-1 registration statement containing audited financial statements, a description of the business, risk factors, use of proceeds, and management disclosure.

The SEC staff reviews the filing and issues comment letters. Responding to those comments accurately and efficiently is often the difference between a registration that goes effective on schedule and one that stalls for months.

Our attorneys prepare registration statements, manage the comment process, and prepare companies for the reporting obligations that begin the day the offering is declared effective.

The Public Offering Process

Form S-1 Registration

Preparation of the registration statement, prospectus, and exhibits required to register an offering with the SEC.

SEC Comment Process

Drafting responses to SEC staff comment letters and filing amendments through to effectiveness.

Direct Listings

Listing existing shares on an exchange without a traditional underwritten offering.

Regulation A+ Alternative

For smaller raises, a Tier 2 Reg A+ offering may reach public investors with lighter obligations than full registration.

Exchange Act Reporting

Once effective, companies take on periodic reporting duties including Forms 10-K, 10-Q, and 8-K.

Underwriter Coordination

Working alongside underwriters, auditors, and transfer agents to keep the deal timeline intact.
